Terms of Service & Maintenance Agreement
Last updated: November 4, 2026
1. Scope of Services
JAH Web Design offers the following services. Each may be engaged on its own or together with the others.
Website Discovery & Onboarding Maintenance (One-Time)
This initial, one-time phase is required to bring the website up to a secure, stable, and accurate operational baseline before transitioning to standard ongoing webmaster services.
- Pre-Update Backup: Creating a full site and database backup prior to running updates to safeguard against potential data loss.
- Content Management System (CMS) Review: General technical review of the existing WordPress CMS to assess site health, database structure, and current configurations.
- Content & Link Remediation: Thorough review of the live site to locate and repair broken internal/external links, and fix broken or missing media as necessary.
- Content Gaps & Updates: Correcting outdated information, addressing missing content, and adding newly provided information and media throughout the website to accurately reflect client-provided content.
- Core & Software Upgrades: Performing sequential, safe updates to the WordPress core, active theme, and applicable plugins to improve security and stability.
Maintenance Retainer (Monthly)
Ongoing monthly support for minor content changes and updates to the website, plus necessary troubleshooting.
- Content Changes/Updates: Updating image and textual information as requested.
- Core & Software Upgrades: Applying necessary software updates as needed.
- Troubleshooting: Resolving technical issues due to formatting or software update errors.
Website Builds & Moves
- Construct a new website for your organization built upon the WordPress CMS that utilizes the licensed Divi theme.
- Migration of pre-existing website from one host to another.
- Transfer of domain name from one service to another.
2. Service Scope Exceptions & Project Boundaries
Major website overhauls, structural redesigns, significant technical repairs, and domain name or hosting migrations fall outside the scope of standard webmaster services and require a separate proposal and acceptance. These activities are strictly excluded from both the initial onboarding phase and the standard monthly maintenance retainer.
3. Content Accuracy & Editorial Responsibility
The client is responsible for the accuracy and completeness of all information provided for publication. Webmaster services include implementing client-provided content and correcting identified discrepancies but do not include independent fact-checking, editorial oversight, or verification of published information.
4. Intellectual Property
Upon receipt of full payment, all rights, titles, and interests in the finalized website configurations, text updates, and media layouts are transferred to the Client. The Webmaster retains the right to display the finalized website within their professional portfolio.
5. Limitation of Liability
Services are provided on an “as-is” basis. The Webmaster is not liable for any data loss, third-party hosting downtime, external security breaches (hacking), or subsequent financial or administrative damages incurred by the Client.
6. Termination Clause
The monthly ongoing maintenance retainer can be terminated by either party by providing the other with written notice at least thirty (30) days in advance, thereby allowing sufficient time to finalize any agreed-upon changes or updates and settle outstanding balances.
7. Payment Terms
One-time services (Website Discovery & Onboarding, and Website Builds & Moves) are billed as quoted in the client’s proposal or invoice. A deposit of 50% is due before work begins, with the balance due upon completion. The Maintenance Retainer is billed monthly in advance and renews automatically each month, charged to the payment method on file through Stripe, until cancelled under the Termination Clause. If a payment fails, the client will be notified, and services may be paused until the balance is paid.
8. Refunds
Payments for completed work are non-refundable. Monthly retainer payments are not prorated or refunded for partial months; when the retainer is cancelled, services continue through the end of the final paid period. Deposits for one-time projects are refundable only if no work has begun.
9. Third-Party Services & Costs
Website hosting, domain name registration and renewal, premium theme or plugin licenses (including Divi), and other third-party services are not included in service fees unless stated in writing. These costs are paid by the client, and accounts for these services remain in the client’s name and ownership. JAH Web Design is not responsible for the performance, pricing changes, or policies of third-party providers.
10. Client Responsibilities
The client agrees to provide the access credentials, content, and approvals needed to complete requested work in a timely manner. Delays in providing these may delay completion of the work.
11. Response Times
Requests are typically acknowledged within two (2) business days and completed within a reasonable time based on their scope. JAH Web Design is an independent, part-time practice, and services are not provided on an emergency or 24/7 basis.
12. Acceptance of Terms
By engaging JAH Web Design or submitting payment for services, the client agrees to these Terms of Service.
13. Changes to These Terms
These terms may be updated from time to time. Changes take effect when posted on this page, and the “Last updated” date will be revised. Clients on an active retainer will be notified of material changes at least thirty (30) days in advance.
14. Governing Law
These terms are governed by the laws of the Commonwealth of Virginia.
